Terms and Conditions
Effected from – 23 July 2026
These Terms and Conditions (“Terms“) govern access to and use of the website located at scredus.com (the “Site“), operated by Sterling Global Financial (“Sterling,” “we,” “us,” or “our“) in connection with the Sterling Real Estate Credit Fund (“SCRED” or the “Fund“). By accessing or using the Site, you (“you” or the “User“) agree to be bound by these Terms. If you do not agree, do not use the Site.
1. No Offer of Securities
The Site and its content are provided for general informational purposes only and do not constitute, and should not be construed as, an offer to sell, or a solicitation of an offer to buy, any security, including interests in SCRED or any other investment vehicle managed by Sterling. Any such offer or solicitation will be made only pursuant to definitive offering documents (including a private placement memorandum, subscription agreement, and related exhibits), and only to persons who qualify as accredited investors or otherwise satisfy applicable eligibility requirements under U.S. federal and state securities laws.
Nothing on the Site should be relied upon in connection with any decision to invest. Prospective investors should rely solely on the information contained in the applicable offering documents, which supersede the contents of this Site in all respects.
2. No Investment, Legal, or Tax Advice
Information on the Site — including descriptions of investment strategy, performance objectives, risk mitigation measures, and team background — is provided for general informational purposes and does not constitute investment, legal, tax, or accounting advice. It does not take into account the investment objectives, financial situation, or particular needs of any specific person. You should consult your own financial, legal, and tax advisors before making any investment decision.
3. Forward-Looking Statements; Performance
Statements on the Site regarding performance objectives, targeted or expected returns, market outlook, or future results are forward-looking statements. They are based on current assumptions and beliefs, are inherently uncertain, and are not guarantees of future performance. Past performance is not indicative of future results. Actual results may differ materially from any performance objectives or expectations described on the Site. Real estate credit investments involve risk, including the possible loss of principal, and are not suitable for all investors.
4. Eligibility; Restricted Access
The Site and any investment opportunities referenced on it are intended only for accredited investors, institutions, registered investment advisers, family offices, and similar qualified parties, and are not directed at, and should not be relied upon by, retail or non-qualified investors. The Site is not directed to any person in any jurisdiction where its availability would be contrary to local law or regulation. If you access the Site from outside the United States, you are responsible for compliance with local laws.
5. Submission of Information
The Site’s contact and inquiry forms request personal and business information (including name, company, investor type, contact details, and location). By submitting this information, you represent that it is accurate and that you are authorized to provide it. Submission of an inquiry does not create any obligation on Sterling’s part to accept you as an investor, and does not constitute an application, subscription, or commitment of any kind. Our collection and use of personal information is further described in our Privacy Policy.
6. Intellectual Property
All text, graphics, logos, images, and other content on the Site are the property of Sterling or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may view and print pages from the Site for personal, non-commercial reference only. You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content from the Site without Sterling’s prior written consent.
7. Third-Party Links
The Site may contain links to third-party websites (including social media platforms and affiliated Sterling entities). These links are provided for convenience only. Sterling does not control and is not responsible for the content, accuracy, or practices of any third-party site, and inclusion of a link does not imply endorsement.
8. No Warranty
The Site and its content are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability. Sterling does not warrant that the Site will be uninterrupted, error-free, or secure, or that any information on it is current or complete.
9. Limitation of Liability
To the fullest extent permitted by law, Sterling and its affiliates, principals, officers, employees, and agents will not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising out of or relating to your access to or use of, or inability to access or use, the Site, even if advised of the possibility of such damages.
10. Indemnification
You agree to indemnify and hold harmless Sterling and its affiliates, principals, officers, employees, and agents from any claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys’ fees) arising out of your use of the Site or your violation of these Terms.
11. Changes to These Terms
Sterling may revise these Terms at any time by posting an updated version on the Site. Changes are effective upon posting. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
12. Governing Law; Disputes

These Terms are governed by the laws of the State of [State], without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site will be subject to the exclusive jurisdiction of the state and federal courts located in [County/State].
